Terms of Service

These Terms of Service ("Terms") are a legal agreement between you (the business that registers, and the person acting for it) and Acme Technologies, Office 101-102, City Centre 2, near Panchamrut Bunglows II, Sola, Ahmedabad, Gujarat, 380060, India ("B2B India", "we", "us"). They apply to the B2B India mobile apps, web app and this website (together, the "Service").

By registering or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. This is an electronic record under the Information Technology Act, 2000 and needs no physical signature.

B2B India is an online marketplace where verified businesses post "Want to Buy" and "Want to Sell" listings for tech hardware and chat with each other. We are an intermediary. We provide the platform that connects dealers.

• We are not a party to any deal between users. Price, quality, delivery, payment, warranty and invoicing are agreed between the dealers.
• We do not buy, sell, hold, inspect or ship goods, and we do not process payments between users.
• We do not guarantee that a post is accurate, that goods exist or are genuine, or that any user will complete a deal.

• You must be a business registered in India with a valid GST number, and be at least 18 years old.
• The person registering must have authority to bind the business to these Terms.
• You must not have been previously removed from the Service for breaking these Terms.
• The Service is for business use only, not for consumers buying for personal use.

• You register with your email, verify it with a one-time code (OTP), and submit your business and owner details. The information must be true, complete and kept up to date.
• Our team manually reviews your GST number and details. We may approve, put on hold or reject any registration, and may ask for more information. Approval is at our discretion.
• You are responsible for everything done through your account and for keeping access to your registered email secure. Tell us immediately if you suspect unauthorised use.
• One business may not hold multiple accounts to get around credit or post limits.

You can delete your account at any time from the app (Profile, then Delete Account). See the Privacy Policy for what that removes.

• You can create a "Want to Buy" or "Want to Sell" post with a category, specifications, quantity (optional) and a reach: your city, a metro city, or nationwide.
• Posts are shown to the audience for the reach you choose and are automatically removed after 48 hours. You can delete your own post earlier. Posts cannot be edited; delete and re-post instead.
• Your post shows your business name, owner name, city and logo to other dealers in that audience.
• You are solely responsible for your posts and must have the right to sell or request what you list.

• Posting uses credits. At the time of writing, approved accounts receive 16 free credits a day, and a post costs 1 credit (your city), 2 (metro) or 5 (nationwide). You may also create at most 10 posts a day.
• Credits reset daily and do not carry over. They have no cash value, cannot be bought, sold, transferred or refunded, and are not a payment instrument.
• We may change the daily credits, post costs and limits at any time. Changes apply to new posts and the next reset.
• B2B India is currently free. If we introduce paid features, we will tell you first and they will have their own terms.

• You can message other dealers and share photos and documents. Use messaging only for genuine business enquiries about posts.
• Messages and files are deleted automatically after a limited period, currently 72 hours. If you need a record of a deal, keep your own copy.
• Do not send spam, repeated unsolicited offers, harassment, malware, or anything that breaks section 8.

You must not post, upload, send or share anything that:

• is false, misleading, fraudulent, or lists goods you do not have or cannot lawfully sell (including counterfeit, stolen, smuggled or grey-market goods passed off as genuine);
• belongs to another person and you have no right to use it, or impersonates any person or business;
• infringes any patent, trademark, copyright or other right;
• is obscene, defamatory, harassing, hateful, or threatens the unity, integrity, defence, security or sovereignty of India, public order or friendly relations with other countries;
• is illegal under any law in force in India, or encourages any illegal activity;
• contains viruses or code meant to disrupt the Service.

You must also not:

• scrape, copy or harvest posts or user details, or use bots or automated tools to access the Service;
• use other dealers' contact details for anything other than the business enquiry they were shown for;
• circumvent credit, post or rate limits, or interfere with or probe the security of the Service;
• post anything unrelated to buying or selling tech hardware on the Service.

• You can report a problem, such as a suspicious post or user, with Report an Issue in the app. Our team reviews reports.
• We may, with or without notice, remove or disable access to any post, message or attachment, and put an account on hold, suspend or terminate it, if we think it breaks these Terms or the law, harms other users or the Service, or if we are required to by law.
• When we remove a post, we may email the owner. We do not have to restore removed content or credits used on it.
• We act on valid court orders and notices from the appropriate government authority and will take down content within the time the law requires.
• We have zero tolerance for objectionable content and abusive behaviour. Repeat or serious breaches lead to permanent removal.

The B2B India name, logo, apps, website, design and software belong to Acme Technologies or its licensors. We give you a limited, personal, non-exclusive, non-transferable right to use the Service as allowed by these Terms. You may not copy, modify, reverse engineer or resell it.

You keep ownership of the content you post. You give us a free, worldwide, non-exclusive licence to host, store, display and transmit it solely to operate and improve the Service and to show it to the audience you chose, for as long as it is on the Service. You confirm you have the right to give this licence.

Any deal you make is entirely between you and the other dealer. You are responsible for checking the other business, the goods, the price and the payment terms before you commit. We recommend that you:

• verify the other business's GST registration and identity independently;
• inspect goods and confirm specifications before paying;
• use secure, traceable payment methods and written orders or invoices.

A GST number being on file means we reviewed the registration details submitted, not that we vouch for the business, its goods, or its conduct. Any dispute with another user must be resolved with that user.

B2B India is only a platform that helps businesses find each other. We are not responsible or liable for any loss, damage, fraud, scam, misrepresentation, non-delivery, non-payment, counterfeit or defective goods, or any other harm that arises from a post, a chat or a deal on or through the Service, whether or not it began on the Service and whether or not the other user was verified, approved or reviewed by us. You use the Service and deal with other users entirely at your own risk. If you believe a user is acting fraudulently, report it to us in the app and to the police or the National Cyber Crime Reporting Portal (cybercrime.gov.in); we may act on a report, but we are not obliged to, and we cannot recover money or goods for you.

We work to keep the Service available, but we do not promise it will always be uninterrupted, error-free or secure. We may change, pause or discontinue any part of it, including features, categories, credit rules and cities, at any time. Because the Service is free, we are not obliged to provide any particular level of service.

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant the quality, safety, legality or genuineness of any goods, nor the identity, creditworthiness or conduct of any user.

To the fullest extent permitted by law, B2B India and its directors, employees, partners and affiliates will not be liable for any loss or damage of any kind, whether direct, indirect, incidental, special, consequential or punitive, including loss of money, profit, revenue, business, goodwill, stock or data, arising out of or connected with the Service, the content or conduct of any user, or any deal, payment, delivery or dispute between users. This includes losses caused by fraud, scams, misrepresentation, fake or unverified listings, counterfeit, defective or undelivered goods, non-payment, and unauthorised access to your account, even if we were told such loss was possible.

You agree to compensate and hold harmless B2B India and its directors, employees and partners against any claim, loss, liability or expense (including reasonable legal fees) arising from your content, your deals with other users, your breach of these Terms, or your breach of any law or third-party right.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access as described in section 9.

When an account is deleted, its profile, posts, chats and reports are erased as described in the Privacy Policy. Sections that by their nature should continue (for example intellectual property, disclaimers, liability, indemnity and governing law) survive.

We aim to acknowledge complaints within 24 hours and resolve them within 15 days. For general help, email support@b2bindia.info; we reply within 48 hours on working days.

If you get the app from the Apple App Store or Google Play, these Terms are between you and B2B India only. Apple and Google are not responsible for the app or its support, and have no obligation to provide maintenance. Apple is a third-party beneficiary of these Terms as they apply to the iOS app and may enforce them against you. You must also follow the store's own terms of service.

These Terms are governed by the laws of India. Disputes will first be raised with us in writing so we can try to settle them in good faith. If not settled, the courts at Ahmedabad, Gujarat have exclusive jurisdiction.

We may update these Terms. We will post the new version here with a new "last updated" date, and tell you in the app or by email if the changes are material. If you keep using the Service after the changes take effect, you accept them. If you do not agree, delete your account.

• Entire agreement: these Terms and the Privacy Policy are the whole agreement between you and us about the Service.
• Severability: if a part of these Terms is found unenforceable, the rest stays in force.
• No waiver: if we do not enforce a right, we have not given it up.
• Assignment: you may not transfer your rights under these Terms. We may transfer ours as part of a business transfer.
• Notices: we may send you notices by email, in the app or on this website.
